Independent Contractor Agreement

1 Source Service Solutions LLC

This Independent Contractor Agreement (“Agreement”) is entered into between 1 Source Service Solutions LLC (“Company”) and ________________________ (“Independent Contractor”).

1. Independent Contractor Relationship

The Independent Contractor is engaged as an independent contractor and not as an employee, partner, agent, or officer of the Company. Nothing in this Agreement shall be construed to create an employment relationship.

2. Scope of Services

The Independent Contractor may:

Identify and refer qualified businesses
Provide application request information
Assist with intake communication via email
Submit completed applications and required documentation to third-party funding partners

The Independent Contractor does not provide underwriting, lending, financial advice, or approval decisions.

3. No Authority to Bind

The Independent Contractor has no authority to bind, obligate, guarantee, or make representations on behalf of the Company or any third-party lender.

4. No Lending Authority

The Company and Independent Contractor are not lenders. All funding decisions are made exclusively by third-party financial institutions.

5. Compensation

Compensation shall be paid on a commission-split basis as outlined in the Independent Contractor Compensation Summary. Commissions are earned only upon successful funding and are subject to third-party funding partner policies.

6. Compliance & Conduct

The Independent Contractor agrees to:

Provide accurate and truthful information
Avoid promises or guarantees of approval
Comply with all applicable laws and ethical standards
Use only Company-approved language and materials

7. Confidentiality

The Independent Contractor agrees to maintain the confidentiality of all client information, business records, and proprietary information.

8. Indemnification

The Independent Contractor agrees to indemnify and hold harmless 1 Source Service Solutions LLC from any claims, damages, or liabilities arising from the Independent Contractor’s actions, misrepresentations, or non-compliance.

9. Termination

Either party may terminate this Agreement at any time, with or without cause, by written notice.

10. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the state of Alabama which1 Source Service Solutions LLC is registered.
